Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of withonelot.com and the OneLot inventory risk scoring platform (together, the "Service") operated by OneLot Inc. ("the Company," "we," "us," or "our") (6784 Ayala Avenue, Floor 18, Makati 1226, Philippines). By accessing or using the Service, you accept these Terms. If you are accessing the Service on behalf of a licensed inventory finance lender or other business entity, you represent that you have authority to bind that entity to these Terms.

Nothing in these Terms limits your statutory rights under the laws of your country of residence.

2. Use of the Service

The Service is a B2B analytics platform. By using it, you agree that:

• You are accessing the Service on behalf of a business, not as a consumer for personal use.
• You must be of legal age in your jurisdiction to enter into binding contracts on behalf of your organization.
• You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorized access to systems, accounts, or data belonging to other users.
• You may not scrape, reverse-engineer, decompile, or copy the Service or its scoring outputs except as permitted by mandatory law or expressly authorized in writing by the Company.
• Dealer lot data and VIN-level records you submit to the platform must be data you are authorized to provide. You represent that you have the necessary consents or authority to transmit such data to the Company for scoring purposes.

3. Intellectual Property

The Service, including its scoring models, algorithms, software, user interface, and documentation, is owned by the Company or its licensors and is protected by applicable intellectual property law. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for its intended purpose: inventory risk scoring of dealers in your lending portfolio.

Scoring outputs delivered to you as a subscriber are licensed for your internal business use. You may not resell, sublicense, or redistribute raw scoring outputs to third parties without the Company's prior written consent.

4. Data You Submit

You are responsible for the accuracy and lawful provenance of the dealer data, stock lists, and VIN-level records you submit to the platform. You grant the Company a limited licence to process, store, and analyze that data solely to provide the Service to you. The Company does not use submitted dealer data to train machine learning models for purposes unrelated to your own scoring account without your explicit written consent.

The Company processes submitted data as described in our Privacy Policy. Dealer data submitted by one lender is not shared with or visible to any other lender account.

5. Disclaimers

The Service is provided on an "as is" and "as available" basis. Scoring outputs are analytical indicators derived from available lot data and are provided for informational purposes only. They do not constitute lending advice, credit recommendations, or directives to extend, reduce, or terminate any credit facility. Credit decisions remain solely the responsibility of the licensed lender using the platform.

The Company disclaims all warranties to the maximum extent permitted by applicable law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Mandatory consumer warranties applicable in your country of residence are not affected.

The Company does not hold a lending licence and does not extend credit to dealers. Nothing in these Terms or the Service constitutes a financial product or financial service regulated by the Bangko Sentral ng Pilipinas or any other financial regulator, except where separately licensed.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service will not exceed the subscription fees paid by you in the three months preceding the event giving rise to the claim, except for liability that cannot be limited under mandatory law.

In no event will the Company be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or credit decisions made in reliance on scoring outputs, even if advised of the possibility of such damages.

7. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party right, including claims arising from data you submitted to the platform that you were not authorized to provide.

8. Termination

We may suspend or terminate your access to the Service for material breach of these Terms or non-payment of applicable subscription fees, after notice where practicable. You may terminate your subscription in accordance with the terms of your subscription agreement. Sections that by their nature should survive termination will survive, including Sections 3 (Intellectual Property), 6 (Limitation of Liability), 7 (Indemnification), and 9 (Governing Law).

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the Philippines.

Disputes are subject to the non-exclusive jurisdiction of the competent courts in Makati, the Philippines, without prejudice to mandatory consumer-protection rights of your country of residence.

10. Changes and Contact

We may update these Terms. Material changes will be posted with a new "Last updated" date. Continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms.
